Outsource Resource HR is Recruiting a Legal Officer

Our client operates globally in the renewable energy sector. They have retained our services to support the hiring process for a detail-oriented and proactive Legal Officer to support its legal team in investment transactions, project finance, corporate governance, and compliance. This role is designed for an upcoming legal professional with strong organizational skills and a keen interest in renewable energy and infrastructure development across Africa and Middle East.

Legal Officer Nairobi

The role will include, but not limited to, the following responsibilities:

Transactional Support

Assist the legal and commercial teams with various aspects of transactions, including:

  • Supporting preparation of term sheets, non-disclosure agreements, power purchase agreements, steam purchase agreements and other transaction documentation.
  • Assisting in legal due diligence exercises, including collating and organizing key documents.
  • Tracking documentation requirements and coordinating document execution.
  • Coordinating communication between internal teams and external legal advisors.
  • Maintaining transaction records and document flow, and assisting in the preparation of internal updates.
  • Supporting due diligence coordination for potential investors.
  • Assisting in preparation and tracking of signing and closing CP checklists.
  • Liaising with internal departments (e.g., business development, finance, commercial) to ensure compliance documentation is in place.
  • Coordinating the flow of conditions precedent documents and maintaining version control.

Company Secretarial Support

  • Assisting in the maintenance of corporate records for subsidiary companies.
  • Preparing draft board and shareholder resolutions.
  • Liaising with administrators and secretarial service providers in relevant jurisdictions.
  • Assisting in incorporation processes and annual filing preparation.
  • Ensuring corporate registers and document repositories are up to date.

Governance and Compliance

  • Effectively track and communicate the status of open issues in relation to compliance documentation, KYC processes, and investor reporting.
  • Coordinating with internal teams to ensure adherence to anti-bribery, AML, and tax compliance
    requirements.
  • Maintaining confidentiality agreements and engagement letter templates.
  • Supporting ESG and compliance documentation under the guidance of the Legal Associate.
  • Assisting with KYC and investor onboarding documentation.
  • Coordinating requests for legal and compliance documentation from fund partners.
  • Supporting implementation of investor recommendations and internal compliance requirements.

General and Administrative

  • Draft reports that succinctly summarize findings and provide a recommended course of action.
  • Providing administrative support to the legal team including scheduling, document tracking, and reporting.
  • Supporting legal and cross-functional teams with research, and coordination as needed.
  • Our client runs lean organization. Consequently, all staff will be involved in various duties outside of their usual scope of work, such as project and development work, sales, reporting and admin tasks.

Key skills/Competencies/Experience

  • Minimum 2 years’ post-qualified/ post-admission experience gained at a top-tier multinational law firm and/or a multi-national company preferred.
  • Experience working in or supporting a corporate compliance function with knowledge of executing thirdparty due diligence reviews.
  • Knowledge of and experience advising clients on sanctions laws and other compliance-related laws and regulations.
  • Strong analytical, writing, and verbal communication skills, with an exceptional level of attention to detail.
  • Experience working collaboratively in cross-border environments with legal colleagues and business clients.
  • Demonstrated ability to manage multiple tasks and meet deadlines.
  • Interest in renewable energy, infrastructure, sustainability and legal operations

Qualifications

  • Qualified lawyer ideally with a university degree from a top law school or Bachelor’s degree in law.
  • Corporate secretarial qualification would be an advantage.
